Job Overview

Luxfer Holdings PLC is seeking a high-performance legal professional to lead our in-house legal team. As the leader of a small and collaborative legal team, you will liaise directly with Business Unit Leaders, as well as Finance, Operations, Health & Safety, HR, and other internal and external groups, to mitigate risk, drive compliance, promote commercial excellence, and uphold high standards of corporate governance.

This role is ideal for an ambitious solicitor looking to advance their career and lead a legal team. You will be responsible for providing sound, pragmatic, and timely legal advice to the Board of Directors, Executive Leadership Team, and senior management on a wide range of legal matters affecting the Company.

Key Responsibilities:

  1. Advisory: Provide legal advice on a wide range of matters, including corporate, transactional, employment, intellectual property, and securities law.
  2. M&A: Oversee and provide in-house legal support on the Company's merger, acquisition, and divestment transactions.
  3. Corporate Governance: Support and provide guidance on corporate governance matters, including drafting and implementing corporate policies and procedures.
  4. Regulatory Compliance: Monitor and oversee the Company's compliance with all applicable laws, including the compliance of business operations in four countries.
  5. Litigation Management: Oversee legal disputes and coordinate with internal resources and external legal counsel as necessary to manage such matters.

Requirements:

  1. Leadership: Desire and ability to develop and lead a team to deliver high-performance legal services in a demanding environment.
  2. Broad Legal Knowledge: Strong foundation in legal principles across various practice areas.
  3. Regulatory Compliance: Strong knowledge of relevant laws and regulations applicable to the Company's operations and industry.
  4. Risk Management: Proficiency in assessing and managing legal risks, identifying potential challenges, and developing strategies to proactively mitigate risk.
  5. Commercial Negotiation and Contract Drafting: Ability to negotiate effectively and draft contracts that protect the Company's interests while facilitating business transactions.
  6. Financial Literacy: Understanding of financial principles and ability to assess the financial implications of legal decisions and strategies.
  7. Travel: Ability to travel internationally and/or domestically for up to 8 weeks per year.
  8. Minimum of 5-10 years post-qualification experience in an in-house legal department or relevant practice group.
  9. Previous M&A experience and strong contract and report drafting abilities required.
  10. Previous exposure to multi-jurisdictional and international regulatory frameworks preferred.
