About the Role:

Job Summary:

We are seeking an experienced Corporate Lawyer to join our team in London, supporting the Corporate Legal Department in providing corporate secretarial and governance support to the OSTTRA Group Limited.

Key Responsibilities:

  1. Corporate Governance: Prepare for and run quarterly board and committee meetings, including preparation of agenda and board materials and packs, taking minutes.
  2. Statutory Compliance: Update and maintain statutory books and compliance for OSTTRA's UK subsidiaries, including overseeing Companies House filings and record keeping.
  3. Board and Shareholder Resolutions: Prepare and arrange execution of board and shareholder resolutions for OSTTRA subsidiaries, including to change officers, declare dividends, approve annual accounts, alter share capital, allot shares and amend articles. Run relevant board meetings.
  4. Subsidiary Management: Assist with management of local counsel and corporate service providers overseas to ensure appropriate subsidiary management, corporate and audit compliance and governance of OSTTRA's subsidiaries across EMEA and APAC.
  5. Regulatory Filings: Assist with completion of regulatory filings, arranging execution of documents.
  6. International Liaison: Liaise with notaries, local counsel and corporate service providers overseas to assist with corporate subsidiary management, including preparing certificates and arranging for documents to be notarized and apostilled, legalized or consularised.
  7. Internal Record-Keeping: Assist with maintaining internal record-keeping systems.

Requirements:

  1. Experience: At least 5 years of experience as an in-house corporate Lawyer.
  2. Qualifications: England & Wales Qualified Lawyer - must.
  3. Skills: Excellent company law and company secretarial knowledge, in particular in the areas of running boards and corporate governance and compliance - must.
  4. Personal Qualities: Professionalism and responsiveness required and ability to effectively communicate with people at all organisational levels of the company.
  5. Organisational Skills: Excellent organisational and project management skills needed to manage time well, prioritise effectively and handle multiple deadlines. Ability to react quickly and adjust priorities on short notice.
  6. Team Player: Ability to operate autonomously while being a team player who brings a positive, enthusiastic attitude to the workplace and works collaboratively with other members of the team and with other colleagues.
  7. Technical Skills: Computer Skills are preferred - Word, Excel, Adobe Acrobat, Outlook, Diligent.
  8. Language: Fluent English.
  9. Flexibility: Readiness to work one day per week from London office.
