Job Description

We are seeking a highly skilled Senior Private Markets Lawyer to join our team at Partners Group in London. This is an exciting opportunity to work on complex investment fund structures and separate accounts, while collaborating with our client relationship management, investment, and operations teams.

Job Responsibilities:
  • Manage complex structuring projects from a legal, regulatory, operational, and project management perspective.
  • Draft limited partnership agreements, private placement memoranda, subscription agreements, side letters, service agreements, and term sheets for fund formations and associated products.
  • Lead the design, formation, and negotiation of customized separate accounts for leading international, institutional investors, including UK pension plans and insurance companies.
  • Oversee marketing registrations in jurisdictions globally.
  • Research and develop customized fund structures such as rated note structures and securitization vehicles.
  • Draft and/or review documentation relating to various fund structures.
  • Assume responsibility and ownership for select funds and separate accounts, including maintenance and related processes and procedures.
  • Develop a set of skills and general Partners Group knowledge, particularly relating to Structuring service catalogue and relevant interfaces with (operational) teams.
  • Research legal and regulatory considerations relevant to specific clients, products, and jurisdictions, and have strong awareness of market standards for fund terms.
  • Instruct and manage external legal advisors and other service providers.
Requirements:
  • A qualified lawyer with 5+ years of relevant work experience at a top law firm, bank, or asset manager (preferably focused on private markets investments).
  • Experience working with UK pension plans and insurance companies.
  • In-depth knowledge of AIFMD, MiFID, and Solvency II in relation to investment funds.
  • Experience with different fund structures, securitized vehicles, and other innovative structures preferred.
  • A self-motivated and proactive individual with a strong desire to learn and succeed.
  • Excellent analytical, interpersonal, and project management skills to manage multiple projects at any one time.
  • Ability to effectively communicate complex topics with both internal and external parties.
  • Knowledge of global fund jurisdictions, including Luxembourg, Delaware, and Cayman Islands, and fund structures for private equity, private real estate, private debt, and private infrastructure.
  • Knowledgeable about the Advisers Act and other US fund regulations.
  • Able to consider varying tax considerations in determining appropriate fund structures.
  • Able to manage external counsel and meet ambitious fund formation timelines.
  • Proficient in reviewing and signing off on legal documents for more junior professionals.
  • Ability to work with a successful sales team on new fund strategies.

We offer a competitive salary range of £120,000 - £180,000 per annum, depending on experience, along with a comprehensive benefits package, including a lunch allowance, one-month sabbatical after every five years of service, and fun office and team events.
