Job Summary:
Bruin is seeking a skilled Corporate Governance Senior Associate to support its legal function in London. As a key member of the team, you will play a crucial role in ensuring the effective governance of the company's EMEA subsidiaries.

About the Role:
In this role, you will be responsible for corporate governance, legal and compliance-related matters, preparing agendas, compiling documents, and running board of directors meetings, including taking minutes. You will also coordinate and organize information flow to directors, executive officers, and other departments for board-related communications.

Main Responsibilities:
  • Plan, hold, and record board and committee meetings effectively.
  • Ensure supporting business units provide papers on time and in an appropriate format for presentation at a meeting.
  • Prepare and hold annual general meetings, either in person or by written consent, as required in various jurisdictions.
  • Coordinate and organize information flow to directors, executive officers, and other departments for board-related communications.
  • Serve as the official record keeper of corporate records, including board minutes, circular resolutions, bylaws, and charters, ensuring they are properly secured and compliant with regulatory requirements.
  • Coordinate the production of corporate records requested in connection with litigation, regulatory inquiries, or financial audits.
  • Prepare applications and other required compliance filings to maintain business qualifications in various jurisdictions.
  • Support ad hoc discreet projects as needed.

Requirements:
  • At least 5+ years of work experience in a similar role within Financial Services.
  • Highly organized and process-driven individual.
  • Knowledge of laws and regulations and corporate governance practices.
  • Knowledge of corporate governance requirements in the UK and Luxembourg is beneficial.
  • Excellent written and verbal communication skills.
  • The ability to draft well-written reports, board minutes, and resolutions.
  • A detail-oriented, well-organized, critical thinker with strong analytical skills.
  • A highly collaborative partner with strong interpersonal skills and the ability to work effectively with team members and all levels across the organization.
  • Demonstrated ability to handle confidential and sensitive information discreetly.
  • Experience making filings with the FCA and the CSSF.

Estimated Salary:

£80,000 - £100,000 per annum.
