Legal and Compliance Department Overview

The Legal and Compliance Department at GIC Private Limited plays a crucial role in managing legal and regulatory compliance risks for the company. Our team works closely with deal teams to ensure that all transactions are executed in a timely and efficient manner, while also identifying and mitigating potential risks.

We are seeking a highly motivated and experienced credit lawyer to join our Legal Division in London. As a Senior Legal Counsel for Private Credit Transactions, you will partner with our market-leading Private Credit deal teams to execute global private credit transactions.

Key Responsibilities

  • Advise Private Credit deal teams on all stages of transactions, including grid and term sheet negotiation and long-form documentation.
  • Manage and consult with top international and local law firms on various legal matters related to transactions and investment activities.
  • Occasionally participate in credit restructuring negotiations and solutions.
  • Run knowledge-sharing sessions with deal teams, within the Legal and Compliance Department, and for the wider organization.
  • Contribute to and promote teamwork and collaboration among the Legal and Compliance team.
  • Participate in or contribute to GIC-wide initiatives and projects as needed on a global basis.

Requirements

  • Strong academic background and qualifications as a solicitor or attorney.
  • Between 3 to 10 years' post-qualification experience in the credit team of a law firm or financial institution involved in lender-side representations for international Private Equity LBO financing or credit restructuring.
  • Familiarity with a broad range of debt products, including unitranche facilities, subordinated loans, and preferred equity.
  • Ability to explain complex concepts in a clear and succinct manner to those without a legal background.
  • Strong analytical skills, with a good knowledge of commercial law and the ability to identify legal risks and propose solutions.
  • Excellent negotiating skills, communication, and interpersonal skills to effectively represent GIC in dealings with counterparties and internal parties.
  • Outcome-focused and enthusiastic to support deal teams on intensive processes to achieve the best outcome for GIC, while also managing legal and regulatory compliance aspects of transactions.
  • Highly proactive, adaptable to changes, and resourceful, with the ability to multitask within tight timelines and work independently and in a team.
