Private Credit Lawyer

We are seeking a skilled Lawyer to join our Global Private Credit Legal Team in London. The successful candidate will provide support to our European and APAC deal teams, focusing on middle market leveraged loans, capital solutions, portfolio finance, private placement note / bond investment platforms, and infrastructure loans.
The Role's Mission
- Provide day-to-day support to the European and APAC private credit, capital solutions, portfolio finance, private placement, and infrastructure deal teams and portfolio managers on key legal and commercial issues related to investments in middle market loans, capital solutions, portfolio investments, infrastructure loans, and private placement notes/bonds.
- Negotiate term sheets (with or without access to external counsel), advise on key legal and commercial matters, determine the legal structure of transactions, and address high-level local law considerations.
- Assist with executing transactions, instructing, and liaising with external counsel.
Key Responsibilities
- Internal legal advice to new and existing Barings investment funds (typically SICAVs-SIFs, RAIFs, and limited partnerships) including drafting and negotiating investment management agreements.
- Collaborate closely with external counsel on matters relating to the Private Credit business such as capital call or fund leverage facilities for the Barings investment funds, or general investor queries.
- Maintain relationships with preferred legal advisors.
Required Qualifications and Skills
- A qualified lawyer with 5+ PQE experience, including recent experience working in leveraged loans.
- Familiarity with credit documentation including grids, term sheets, commitment letters, facilities agreements, intercreditor agreements, and note purchase agreements.
- Knowledge of Loan Market Association standard documents required.
- Familiarity with distressed credits and support for workouts and restructurings is a plus.
- Understanding of structuring and regulatory considerations in Europe, particularly in key jurisdictions like UK, France, Germany, Italy, Benelux, and Nordics.
- Strong organizational skills and ability to prioritize competing workloads effectively.
- An excellent team player with strong written and oral communication skills.
Compensation
Our estimated annual salary range is £80,000 - £120,000 per annum, dependent on qualifications and experience.
