About the Role:

Mimecast is seeking an experienced Corporate Governance Attorney to join our global Legal and Assurance, Risk and Control team. As an Associate Corporate Counsel, you will provide critical support with corporate governance and business-critical projects within the legal function.

Key Responsibilities:

  • Support the Assistant General Counsel: Provide assistance with all aspects of Mimecast's global corporate matters, including company registrations, board meetings, statutory filings, and corporate compliance.
  • Monitor and Report: Set up and maintain systems to monitor and report on corporate compliance matters, ensuring accurate and complete company records.
  • Collaborate with Finance Teams: Work with corporate and regional finance teams to ensure maintenance of accurate and complete company records.
  • Communicate with Stakeholders: Communicate with key stakeholders to ensure they are updated on any changes to Mimecast's legal entities.
  • Research and Analysis: Research, monitor, and analyze changes in applicable corporate and company law regulations, statutes, and guidance, as well as industry developments, best practices, and trends.
  • Coordinate with Outside Counsel: Coordinate with outside legal advisors on transactional and corporate governance matters.
  • Support Mergers and Acquisitions: Assist the legal leadership team with deliverables associated with mergers and acquisitions.
  • Entity Formation: Assist with new entity formation in relation to global expansion projects.
  • Risk Management: Work with the finance, treasury, accounting, and human resource teams on private company employee equity management, capitalization management, debt management, insurance, and risk matters.

  • Experience: Experience in cybersecurity and SAAS/cloud technology is preferable.
  • Qualifications: Our ideal candidate is a qualified solicitor with 2-3 years of experience in a law firm or similar in-house experience.
