Job Title: Commercial Counsel - Expert Legal Support
Job Summary:
Cornerstone is seeking an experienced Commercial Counsel to provide expert legal support and guidance to our Sales, Commercial, and Communications/Marketing teams. As a key member of our Legal & Compliance Team, you will play a critical role in driving innovation and efficiency in our commercial legal process.
Key Responsibilities:
- Provide expert legal support and advice to our Sales, Commercial, and Communications/Marketing teams on all types of commercial matters, including commercial disputes, intellectual property, and technology.
- Draft and negotiate contracts, including cloud services contracts, infrastructure sharing agreements, facilities management agreements, NDAs, master services agreements, framework agreements, and other customer-facing agreements.
- Work closely with our Senior Commercial Counsel to drive innovation and efficiency in our commercial legal process.
- Build strong working relationships with our business teams, external contacts, including Shareholder and Customer legal teams.
- Utilize expert legal knowledge to provide support and advice to our Sales and Commercial team to support Cornerstone's customer acquisition targets and delivery of passive infrastructure services across the mobile telecommunications sector.
- Be the go-to contact for our Sales and Commercial, Marketing and Communications teams for day-to-day legal queries and general support.
- Guide colleagues with sound legal advice on risk and issues relating to a particular deal, mitigating risk and providing pragmatic solutions where necessary.
- Responsible for providing legal support to our Marketing, Brand and Communications team advising them on all relevant legal matters.
- Work closely with our Senior Commercial Counsel with queries and drafting contract variations in relation to our two Master Services Agreements with Vodafone and Telefonica.
- Responsibility for the upkeep, maintenance, and overall transformation of our template document suite which forms the basis of our commercial transactions.
- Contribute to the continual improvement of the Legal & Compliance Team's function through adding value via innovative solutions and forward thinking in relation to the way we progress legal workstreams.
- Proactively identify areas that are fit for transformation and devise new solutions, often embracing technology that can deliver results more efficiently.
- Build effective working relationships with our legal suppliers to ensure work is dealt with in a manner, and at a cost, that is satisfactory to Cornerstone.
- Foster close working relationships with our legal supplier teams which requires daily management and support.
- Champion our values and ensure our legal suppliers are demonstrating the right behaviours and delivering at optimum level.
- As part of a busy Legal & Compliance Team, there are wider tasks that arise and form part of the role; from organizing and attending meetings with suppliers and customer legal teams and collaborating with the wider team.
- This role will also be responsible (where necessary) for providing legal training to other teams within the business.
Requirements:
- A qualified solicitor with a background in practicing in commercial law.
- Breadth of commercial contract experience.
- 3-6 years' PQ experience in commercial transactions.
- Experience working within a busy in-house legal team.
- A solicitor admitted to the role with a current practicing certificate.
- Strong interpersonal and project management skills.
- Good commercial awareness.
- Experience with Technology, Marketing, and IP contracts.
