Role/ Department:

Northern Trust's legal department is a key component of our organization, comprising over 80 lawyers worldwide. The successful candidate will join our EMEA team, reporting directly to the Head of Legal for Asset Management based in London.

We are seeking an English qualified lawyer with significant in-house asset management experience. The ideal candidate will have a strong background in negotiating commercial and trading agreements, including IMAs, distribution agreements, and third-party service provider agreements. Experience in derivatives and other trading agreements is highly desirable. Additionally, the candidate should have knowledge of regulations impacting European Asset Managers.

As a Senior Legal Counsel, the successful candidate will play a vital role in our team, working closely with other team members and interacting regularly with business colleagues. This role offers a high level of autonomy, requiring a motivated and organized individual who can prioritize their workload and communicate effectively with senior management.

Key Responsibilities:


• Provide legal support to Northern Trust Asset Management's business units in the UK, Ireland, and the Netherlands, with a focus on cross-border commercial contract negotiations;

• Principal responsibilities include advising, drafting, and negotiating investment management agreements and cross-border distribution agreements, supplier agreements, and trading documentation across EMEA;
• Supporting the Head of Legal with regulatory, strategic, or other legal projects;
• Advising business partners, including senior-level management and directors of Northern Trust Asset Management's UK regulated entity and the Irish fund management company, from a position of knowledge and experience across all fund ranges;
• Working with external counsel where necessary;
• Liaising with other colleagues in the global legal department (both in EMEA, APAC, and the US) across Northern Trust's asset management, asset servicing, and wealth management business units globally and external counsel to maintain a consistent approach to the policies of the bank in connection with the provision of the services;
• Engaging with and supporting Compliance and Risk Management in analyzing the requirements of new laws and regulations impacting the businesses and the implementation of processes and procedures in order to comply with such requirements.

Skills/ Qualifications:


• 8- PQE Qualified Lawyer (English qualified is a preference) with demonstrable experience in financial services;

• Experience working in a reputable and recognized financial services practice or in-house legal department of a large asset manager;

• Experience of working across FCA, EU, and Central Bank of Ireland regulations;

• Experience of drafting, reviewing, and negotiating the distribution agreements and IMAs;

• Able to work with Senior Business Leads across multiple disciplines and international jurisdictions;

• A pro-active and diligent team player with the ability to prioritize and work to set deadlines within a challenging environment
