About the Role:

We are seeking a highly skilled and experienced Chief Governance Officer to join our team at Nobul Resourcing Solutions. As a key member of our organization, you will play a vital role in overseeing our governance framework, ensuring compliance with legal and statutory requirements.

Your primary responsibility will be to guide the board and committees on their responsibilities, manage information flows, and maintain governance documents. You will also be responsible for advising the chair and board on responsibilities under governance documents and regulations, as well as ensuring all Board and Committee Chairs function efficiently and effectively.

Key Responsibilities:
  • Governance Guidance: Provide expert advice to the chair and board on governance documents and regulations.
  • Board Support: Ensure seamless communication between senior management and non-executive directors.
  • Information Flow: Maintain accurate and up-to-date governance documents.
  • Recruitment & Induction: Facilitate recruitment and induction for new board and committee members.
  • Compliance Systems: Develop and oversee systems to ensure legal and statutory compliance.
  • Regulatory Monitoring: Stay updated on legislative changes and implement necessary actions.
  • Administration Oversight: Oversee board meetings, prepare agendas, take minutes, and ensure company filing is up to date.
Requirements:
  • Strong understanding of governance, risk, and compliance principles.
  • Experience with SharePoint and working with board minutes and committee meetings.
  • Proven track record of working on an international basis.
  • Self-starter with excellent organizational skills.
  • Ability to create and maintain complex governance documents.
