Vantage Data Centers is a leading provider of data center solutions, committed to delivering high-quality services to its clients. We are seeking a highly skilled and experienced Senior Corporate Counsel to join our team in the Capital Markets department.
Job SummaryThe Senior Corporate Counsel will be responsible for managing the company's legal affairs related to debt capital raising, mergers and acquisitions, and other financial transactions. This role will involve drafting and negotiating loan agreements, participating in negotiations with lenders, and ensuring compliance with regulatory requirements.
Key Responsibilities- Assist in the preparation and negotiation of term sheets and loan agreements
- Participate in negotiations with lenders and provide comments on loan agreements
- Ensure compliance with regulatory requirements and lender consent rights
- Implement and improve processes to capture information on borrower or project changes
- Drive standardization of loan agreements and representations
- Collaborate with internal teams, including tax and operations
- Advise on transfer, assignment, split, and change in control issues
- JD from an ABA accredited law school and admission to a State Bar
- 8+ years of relevant legal experience, preferably in-house
- Experience in debt capital raising, mergers and acquisitions, and financial transactions
- Strong knowledge of corporate and commercial law
- Excellent communication and interpersonal skills
