Job Summary

CORPORATE GOVERNANCE EXPERT – SENIOR CORPORATE SECRETARY will act as the official representative of T. Rowe Price Group, Inc., and its EMEA domiciled subsidiaries, handling responsibilities related to corporate governance, compliance, and board matters.

The ideal candidate will report directly to the Managing Legal Counsel in London and receive functional support from the Managing Legal Counsel, Corporate based in the US.

Main Responsibilities:
  • Act as the official record keeper of corporate records, including board minutes, circular resolutions, bylaws, and charters, ensuring they are properly secured and compliant with regulatory requirements.
  • Coordinate the production of corporate records requested for litigation, regulatory inquiries, or financial audits.
  • Support ad-hoc discreet projects as needed.
Requirements

To be successful in this role, you should have at least 5 years of experience in a similar position within Financial Services, along with:

  • A strong knowledge of laws and regulations pertaining to corporate governance and board requirements for EMEA domiciled entities, preferably including UK, Luxembourg, and Switzerland.
  • Experience using document management systems, good working knowledge of standard office technology and equipment, and general office procedures.
  • Excellent English language skills.

Based on industry standards and location, the estimated annual salary for this role is approximately $100,000 - $120,000.
