Mimecast Limited is seeking a highly skilled Senior Commercial Contracts Specialist to join our dynamic global legal team. As a key member of the team, you will be responsible for supporting our Sales Team with negotiations, review, and drafting of contractual documents for customers, vendors, and Mimecast partners.

Responsibilities
  • Review, negotiate, and advise upon commercial contracts including:
  1. Data Processing Agreements (and local applicable Data Protection laws)
  2. Channel Partner Agreements (Reseller, MSP, Distribution)
  3. Technology Alliance Agreements
  4. Software License Agreements
  5. Non-Disclosure Agreements
  6. Software Services Agreements (as Vendor and as Customer)
  • Provide legal advice to commercial transactions and contract-related issues
  • Assist with the submission of responses to Requests for Information/Requests for Proposals, relating to both public and private sector entities
  • Draft contractual provisions and standard terms
  • Advise on anti-trust and competition law requirements
  • Review and updating contractual templates and maintaining version control
  • Assist with contractual policy and process development
  • Formatting, proofing, and finalising contractual documentation and managing the appropriate signature process
  • Legal research and analysis
  • Provide Mimecast internal legal training, supporting legal operations initiatives and representing the legal team in cross-functional project meetings
  • Assisting with legal due diligence and other ad-hoc corporate matters

We are offering an estimated annual salary of £90,000 based on UK qualifications and experience.

Requirements
  • A minimum of 3 years post-qualification experience working within the technology space negotiating, drafting, and advising on commercial contracts
  • Experience of Data Protection Law
  • Ability to communicate clearly and effectively with internal and external stakeholders
  • Sound analytical skills and attention to detail
  • Ability to work autonomously with initiative and confidence and also as part of a team
  • Ability to demonstrate sound commercial acumen and recognize and balance risk appropriately
  • Be able to prioritize effectively and adapt to changing priorities

UK qualified Solicitor, Barrister, or Chartered Legal Executive with current practising certificate.
