About the Role

We are seeking a highly skilled and experienced Non-Executive Chair to lead our Board of Directors. This is a non-executive role that requires commitment to 40 days per year, including travel. The successful candidate will chair 6 Board meetings annually, with up to 3 face-to-face meetings that may require international travel.

Key Responsibilities
  • Chair Board meetings and ensure effective governance
  • Prepare agendas in consultation with the CEO and chair Board and Shareholder meetings
  • Review the Company's financial budgets and business plans, financial performance, commercial, and reputational risks
  • Ensure the Group adheres to good governance standards
  • Attend Innovation Council meetings and provide constructive input
  • Chair general meetings of the Company
  • Hold regular discussions with the CEO to provide leadership and guidance
  • Attend ad-hoc meetings and key functions to promote the Company
  • Chair the CEO evaluation process through the Shareholder Remuneration Committee
  • Undertake annual and mid-year performance reviews of Tier 1 Shareholders and other Shareholders
  • Communicate with Shareholders as necessary to ensure awareness of shareholder issues
  • Chair the Shareholder Remuneration Committee and the Nominations Committee
  • Assist in mentoring and coaching Directors
  • Participate in annual reviews of Directors and other Shareholders
  • Manage the Election Process for Board Members, Shareholder Remuneration Committee, and the CEO
  • Attend Shareholder conferences and key internal and external functions to promote Woods Bagot
About You

We are looking for a candidate with professional experience across multiple businesses and geographies. Some experience or knowledge in the Construction/Property industry is preferred. The ideal candidate will have the ability to reach conclusions, drive decisions, and finalize outcomes.

Key Requirements
  • Minimum 5 years' experience as a Chair in a professional services company or experience as an Exec Chair
  • Highly skilled in chairing complex meetings, business-minded, and prepared to challenge and engage with the whole board
  • High degree of personal integrity
