Skyports is a leader in Advanced Aerial Mobility, with a focus on developing vertiports for electric air taxi operations and providing cargo drone delivery, surveillance, and inspection solutions.

We are seeking a highly skilled Corporate Governance Specialist to join our team. As a key member of our infrastructure business, you will be responsible for designing and implementing compliance policies, developing a Group-wide risk register, and ensuring the control environment sufficiently reduces risk.

Key responsibilities will include:

  • Designing and implementing compliance policies, including AML, ABC, Supplier DD, and KYC
  • Developing a Group-wide risk register to identify commercial, financial, governance, and compliance risks
  • Providing company secretarial work, including company registrations, annual filings, winding-up procedures, and Joint Venture structuring
  • Attending Board Meetings to record resolutions and decisions
  • Delegating powers and maintaining authority and sign-offs
  • Managing shareholder and option holder registers, as well as option vesting, redemption, and exercising
  • Assisting in corporate governance matters, including regulatory filings, investor and board relations, and record keeping
  • Developing and updating company policies and procedures to ensure legal compliance and alignment with best practices
  • Protecting the group's intellectual property rights
  • Assisting in due diligence and transactional matters related to mergers and acquisitions, and restructuring

We are looking for a highly skilled and experienced individual who has a strong background in corporate governance and compliance. The ideal candidate will have:

  • Fully qualified Company Secretary and Corporate Governance Professional with at least three years of relevant experience
  • Experience acting as the Company Secretary, Compliance and Corporate Governance Officer
  • Flexible and adaptable with the ability to work in a fast-paced environment
  • Exposure to overseas entity creation
