As a Commercial Counsel, you'll play a critical role in driving business growth and success by negotiating and drafting IP, software, and technology licenses. You'll work closely with our business and licensing teams to generate revenue through IP monetization, while ensuring compliance with open source software policies.

Key responsibilities include:

  • Negotiating and drafting collaboration and partnership agreements with a strong awareness of IP risks.
  • Collaborating with commercial, technology, and sourcing teams to prepare, opine on, and optimize commercial and sourcing agreements.
  • Applying legal and business judgment to proposed deals, relationships, and other issues requiring legal attention.
  • Developing legal processes and templates for new business and commercial models, including the use of artificial intelligence.
  • Advising on open source software issues and ensuring software and EULAs comply with OSS policy.

Requirements include:

  • Solid knowledge of intellectual property, including patents, trademarks, copyrights, and trade secrets.
  • Experience in handling software legal matters, including software licenses, open source software, EULAs, evaluation, SaaS, and development agreements.
  • Strong project management and prioritization skills, with the ability to effectively manage multiple tasks and priorities in a fast-paced environment.
  • Significant experience working in a corporate legal department or large law firm.
