Coopman Search and Selection | B Corp® is delighted to partner with a global private markets firm with circa $60 billion AUM to hire a Senior Legal Advisor. The role will report directly into the General Counsel, who is based in the US, and will be part of a wider global legal and compliance team.

The Senior Legal Advisor will be responsible for the firm's legal and regulatory activities in the UK and EU markets. This includes overseeing fund formation and private offerings throughout the EU, as well as regulatory filings related to such fundraising efforts. Additionally, the individual will provide general support to the global Legal team in various fundraising and investing activities.

Key Responsibilities:

  • Oversee EU-based offerings in Luxembourg and other jurisdictions, including documentation and regulatory filings.
  • Interact with internal and external investment relations professionals, lawyers, bankers, accountants, investors, and other professional service providers.
  • Manage filing and monitoring of ongoing filing obligations for marketing efforts and EU-based investment vehicles, as well as regulatory filing obligations for FCA-regulated entities in the UK and BaFin-regulated entities in Germany.
  • Oversee and manage legal aspects of the firm's subsidiary operations in the UK and Germany, as well as other operations established in Europe.
  • Monitor and serve as a resource for updates and changes to UK and EU regulations, including data privacy and security and anti-money laundering regulations.
  • Update UK and EU regulatory compliance policies and procedures as needed and prepare required periodic regulatory documentation under UK and German regulations.
  • Address UK and EU country-specific marketing compliance requirements, including AIFMD and private placement regimes.

Experience Required:

  • 7-12 years of experience as a lawyer in a law firm or in-house legal department working on similar matters.
  • Fluent/Proficiency in German (Preferred, although not essential).
  • Experience handling transactions in fund formation or mergers and acquisitions, regulatory-related registrations, and other required regulatory documentation.
  • Familiarity with FCA, BaFin, and EU securities laws, including AIFMD, as well as the General Data Protection Regulation.
  • Ability to work in a collaborative team setting with multiple stakeholders.
