**Job Title:** Senior Corporate Counsel and Governance Specialist
**About the Role:** Broadgate is seeking an experienced lawyer with company secretarial expertise to support the General Counsel and the wider business in achieving commercial objectives and ensuring regulatory compliance.
**Key Responsibilities:**
- Advise the board and senior management on their responsibilities and regulatory obligations.
- Ensure efficient board functions and good information flow within the board and committees.
- Oversee compliance with applicable codes, legal, and statutory requirements.
- Monitor legislative changes and take appropriate actions.
- Administer day-to-day company operations.
- Prepare, review, and negotiate commercial contracts.
- Advise on legal matters related to commercial contracts, employment, privacy, corporate, and tax.
- Develop and maintain standard form contracts.
- Implement and update policies in risk and compliance frameworks.
- Provide legal training across the organisation.
- Support broader initiatives and projects within the Bank.
**Requirements:**
- Previous experience as a company secretary.
- Knowledge of banking products and experience in the corporate banking sector, preferably in the challenger sector.
- Understanding of privacy and employment legislation.
- Qualified solicitor or barrister with at least 3 years PQE.
- Ability to influence and advise across departments.
- Company secretarial or governance qualifications are desirable but not mandatory.
**Competencies:**
- Excellent communication skills.
- Strong analytical skills.
