About the Role:

This is an exciting opportunity to join the Corporate Legal Department at S&P Global as an In-House Corporate Lawyer. As a key member of the team, you will provide corporate secretarial and governance support to the OSTTRA Group Limited, a joint venture between CME Group and S&P Global.

The Team:

You will be part of a dynamic team based in London, consisting of 3 lawyers, 1 paralegal, and 1 legal administrative assistant. The team reports directly to the Associate General Counsel, International Corporate, and covers legal entities across EMEA and APAC from a subsidiary governance and corporate legal perspective.

The Impact:

This role provides a unique opportunity to work on corporate secretarial and governance matters for a global group of companies, comprising 26 legal entities. You will be responsible for preparing for and running quarterly board and committee meetings, updating and maintaining statutory books and compliance, and preparing and arranging execution of board and shareholder resolutions.

Responsibilities:
  1. Prepare for and run quarterly board and committee meetings, including preparation of agenda and board materials and packs, taking minutes.
  2. Update and maintain statutory books and compliance for OSTTRA's UK subsidiaries, including overseeing Companies House filings and record keeping.
  3. Prepare and arrange execution of board and shareholder resolutions for OSTTRA subsidiaries, including to change officers, declare dividends, approve annual accounts, alter share capital, allot shares, and amend articles.
  4. Assist with management of local counsel and corporate service providers overseas to ensure appropriate subsidiary management, corporate, and audit compliance and governance of OSTTRA's subsidiaries across EMEA and APAC.
  5. Assist with completion of regulatory filings, arranging execution of documents.
  6. Liaise with notaries, local counsel, and corporate service providers overseas to assist with corporate subsidiary management, including preparing certificates and arranging for documents to be notarized and apostilled, legalized, or consularized.
  7. Assist with maintaining internal record-keeping systems.
What We're Looking For:
  1. At least 5 years of experience as an in-house corporate lawyer.
  2. England & Wales qualified lawyer - must.
  3. Excellent company law and company secretarial knowledge, in particular in the areas of running boards and corporate governance and compliance - must.
  4. Professionalism and responsiveness required and ability to effectively communicate with people at all organisational levels of the company.
  5. Excellent organisational and project management skills needed to manage time well, prioritise effectively, and handle multiple deadlines. Ability to react quickly and adjust priorities on short notice.
  6. Ability to operate autonomously while being a team player who brings a positive, enthusiastic attitude to the workplace and works collaboratively with other members of the team and with other colleagues.
  7. Computer skills are preferred - Word, Excel, Adobe Acrobat, Outlook, Diligent.
  8. Fluent English.
  9. Readiness to work one day per week from the London office.
