Role Responsibilities:

The Chairperson will be responsible for:

  • Overseeing the annual schedule of board meetings.
  • Establishing agendas for board discussions.
  • Facilitating and leading board meetings effectively.
  • Collaborating with fellow Directors to assess the Board's performance.
  • Directing policy formulation for the Board.
  • Ensuring that decisions made during meetings are executed.
  • Representing the organization at various functions and meetings.
  • Working closely with the CEO to maintain an overview of the organization's operations.
  • Leading the evaluation process for the CEO's performance.
  • Participating in appointment and disciplinary panels.
  • Bringing impartiality and objectivity to the decision-making process.
  • Encouraging change and resolving conflicts within the Board and the organization.

Director Duties:

As a member of the Board, the Chairperson will also be expected to:

  • Understand and uphold the organization's aims and values.
  • Act as a steward for the organization.
  • Support collective decisions made by the Board.
  • Challenge any actions that contradict organizational policies.
  • Maintain confidentiality regarding Board matters.
  • Seek professional advice when necessary.
  • Disclose any potential conflicts of interest.

Collaborative Responsibilities:

In conjunction with other Board members, the Chairperson will:

  • Determine the overall strategy, including vision and mission.
  • Exhibit the highest standards of integrity and impartiality.
  • Be accountable for the organization's performance.
  • Ensure that the organization meets its objectives.
  • Promote a diverse and competent Board.
  • Engage collaboratively with senior management and staff.
  • Appoint and evaluate the CEO.
  • Ensure compliance with the organization's governing documents.

Sportandrecreation is a well-established organization dedicated to promoting sports and recreational activities. The Board comprises skilled individuals selected for their leadership capabilities. Board meetings are held regularly, with various sub-committees addressing specific areas of governance.

Confidentiality and Conduct:

All information obtained during the Chairperson's tenure is confidential and must not be disclosed without prior approval. The organization has a Code of Conduct that all Directors must adhere to, ensuring ethical governance and accountability.

Induction:

New Directors will receive a comprehensive induction to familiarize themselves with their roles and responsibilities, ensuring they are equipped to fulfill their duties effectively.
