Key Responsibilities:
As a vital member of the eTeam Legal Department, you will engage in a diverse array of corporate legal matters, primarily supporting our subsidiaries across various regions, including EMEA and LATAM, with occasional involvement in APAC initiatives.
Core Duties Include:
- General Legal Support: Address a wide range of corporate legal challenges, providing assistance to Finance, Treasury, and Tax departments, as well as managing ad hoc corporate legal, company secretarial, and compliance matters across jurisdictions.
- Project Involvement: Collaborate on significant Finance and Tax-related projects, such as dividend distributions, capital adjustments, intra-group financing, and transfer pricing agreements, necessitating thorough analysis of financial standings through balance sheets and simulations.
- Treasury Assistance: Offer legal expertise to the Treasury function, including governance of notional cash pooling and evaluation of banking agreements. Supervise paralegal activities, including KYC requests and documentation for account closures.
- Entity Rationalization: Facilitate the streamlining of global entities, encompassing pre-rationalization tasks, asset transfers, statutory mergers, and liquidations.
- Collaboration with Accounting: Partner with the Accounting team and external bookkeepers on jurisdiction-specific legal matters, providing legal oversight on statutory account approvals managed by paralegals across EMEA and LATAM.
- Directors' Advisory: Counsel board members on their responsibilities concerning corporate transactions and lead briefings as necessary.
- Compliance Monitoring: Stay abreast of legal developments and implement processes to ensure adherence to evolving corporate regulations, with a focus on recent legislative changes.
- Corporate Governance: Organize and preside over regular board meetings, ensuring accurate documentation and coordination with stakeholders for governance requirements.
Qualifications:
To be successful in this role, candidates should possess:
- A valid qualification as a solicitor in the UK or an equivalent jurisdiction.
- A minimum of five years of post-qualification experience in corporate law, either in private practice or in-house.
- Proven experience in managing international transactions and navigating legal frameworks across multiple jurisdictions.
- Expertise in corporate law within the UK or another significant jurisdiction, with a solid understanding of The Companies Act 2006.
- Strong financial acumen, particularly in interpreting balance sheets and advising on accounting aspects of corporate activities.
