Job Summary

We are seeking a highly skilled Commercial Legal Counsel to join our team at Triple Point Investment Management LLP. As a key member of our Energy and Private Credit teams, you will play a critical role in structuring and negotiating deals, managing legal risks, and providing expert advice to our clients.

Key Responsibilities
  • Deal Structuring and Negotiation: Provide legal advice to the Energy team on structuring deals, portfolio monitoring, and reviewing direct agreements. Support commercial and contractual negotiations with the team, including drafting and reviewing power purchase agreements, engineering, procurement, and construction agreements, and operations and maintenance agreements.
  • Private Credit Team Support: Provide legal support to the Private Credit team in relation to a variety of deals, including cash flow lending, acquisition finance, leveraged finance, wholesale finance, and structured finance.
  • Document Drafting and Negotiation: Draft and negotiate a full range of finance documents, including facility agreements, intercreditor agreements, and security documentation.
  • Legal Risk Management: Manage legal risks on transactions and advise on legal and commercial risks and solutions at the structuring/term sheet stage.
  • Post-Closing Matters: Attend to post-closing matters, such as the registration of any relevant security at Companies House.
Personal Specification
  • Qualifications and Experience: Qualified solicitor with a minimum of 4 years PQE and a current practicing certificate. Experience in Project Finance, including drafting and reviewing underlying project documentation, and one or more of the following areas: cash flow lending, acquisition financing, structured finance, and leveraged lending.
  • Skills and Knowledge: Ability to demonstrate a good understanding of facility documentation, exposure to a broad range of deal structures, and strong private practice training. Intermediate to advanced IT skills, including Microsoft Outlook, MS Office packages, and Docusign.
  • Favourable Characteristics: Pragmatism and commerciality, positive, proactive, smart, engaging, and sociable. Ability to take responsibility for work, work to internal and external deadlines, and develop genuine rapport and long-term working relationships.
