The firm is seeking a skilled mid-level attorney to join their Funds practice in London. The ideal candidate will possess between 4 to 6 years of post-qualification experience.
The team caters to a broad spectrum of clients, including investment managers, family offices, and institutional investors involved in establishing or investing in closed-ended funds, such as private equity, venture capital, infrastructure, and credit funds, in addition to open-ended funds like hedge funds. The team also offers guidance on club deals, 'funds of one', seeding arrangements for managers, carry structures, and investor disputes.
Key Responsibilities:
- Drafting and negotiating essential fund formation documents, collaborating with local counsel as necessary, including limited partnership agreements, private placement memoranda, subscription agreements, side letters, carry structures, and LLP agreements.
- Managing fund formations and investor negotiations in conjunction with the existing team.
- Providing fund-related regulatory counsel, including perimeter guidance, financial promotions, and AIFMD matters, in collaboration with the regulatory team as needed.
- Overseeing and mentoring junior associates.
- Contributing to the team's business development strategy.
Qualifications:
- Experience in drafting and negotiating fundamental fund documents, including limited partnership agreements and side letters.
- Proven track record in managing closed-ended fund formation transactions, ideally encompassing private equity funds, from a reputable City or international firm.
- Strong legal knowledge of funds and applicable financial regulations.
- Experience in direct communication with clients and counterparties.
- A genuine interest in funds and asset management.
- A proactive approach to business development.
