Job Description:
We are seeking a highly skilled and proactive Company Secretary to join our expanding team. As a key member of our corporate governance team, you will provide critical support to our group entities and advise on all aspects of company secretarial work.
Key Responsibilities:
- Advise on and draft documents related to company secretarial work, including board resolutions, meeting minutes, and powers of attorney.
- Ensure compliance with statutory and regulatory requirements, including Companies Act 2006.
- Provide governance advice to the board and ensure good corporate governance practices.
- Maintain accurate records for our entities and file necessary documents.
- Collaborate with the wider team to propose and develop process improvements.
Requirements:
- Qualified or part-qualified Company Secretary (ICSA or equivalent).
- Minimum of 2 years' experience in a company secretarial role, ideally within a corporate or professional services environment.
- Strong understanding of corporate governance, Companies Act 2006, and other relevant legislation and regulations.
- Proven experience in drafting and reviewing board resolutions, meeting minutes, and company secretarial records.
- Proficiency with company secretarial software and strong working knowledge of Microsoft Office Suite.
What We Offer:
- Salary between £52,000 - £65,000 per annum (DOE)
- Bonus and comprehensive benefits package.
- Flexible working arrangements, two days per week required in the office.
