Position Title: Corporate Commercial Lawyer

Department: Commercial

Key Responsibilities:

  • Overseeing a diverse portfolio of transactional and advisory corporate and commercial matters, including:
  • Transactions involving the sale and acquisition of company shares (with a focus on property development related corporate activities);
  • Sales and acquisitions of businesses and assets;
  • Providing general advice on corporate law;
  • Drafting and reviewing company articles of association and managing share transactions such as buybacks, option plans, and group reorganizations;
  • Addressing corporate governance matters and offering company secretarial support;
  • Formulating shareholder agreements, partnership and LLP agreements, and other collaborative ventures;
  • Drafting and advising on a broad spectrum of commercial contracts, including agency and distribution agreements, as well as standard trading terms;
  • Preparing corporate finance documentation and securing lender interests.
  • Delivering legal services to the highest professional standards while adhering to compliance policies and procedures.
  • Maintaining ongoing professional development and identifying training needs.
  • Meeting financial objectives related to time tracking and billing, while managing financial records appropriately, including credit control when necessary.
  • Supervising junior legal staff, trainees, and paralegals within the team.
  • Functioning as a competent and dependable individual contributor while collaborating effectively within the broader team.
  • Contributing to the growth and development of the team and the firm by engaging in networking opportunities and establishing strong connections with key stakeholders while enhancing your professional profile.
  • Adopting a proactive approach to cultivating robust client relationships, ensuring that client interests remain central to our operations.

Required Knowledge and Skills:

  • Qualified solicitor in England and Wales with a minimum of 5 years of post-qualification experience, eager to advance and develop professionally.
  • Strong technical legal expertise and knowledge with proven experience in corporate commercial law.
  • Excellent interpersonal skills, characterized by tenacity and a passion for delivering outstanding service.
  • A commitment to staying informed about changes in law, practice, and procedures.
  • Ability to communicate effectively in clear, plain English, both verbally and in writing.
  • A desire to contribute positively to a dynamic, growing team and support the future success of both the team and the firm.
