THE POSITION

The Corporate Counsel will spearhead the legal and compliance operations for our UK and Ireland divisions. As the principal legal advisor, you will ensure that the organization adheres to legal standards, with a focus on SaaS licensing, GDPR, intellectual property rights, and contract oversight. Your responsibilities will encompass providing strategic legal counsel, managing disputes, and independently supporting LEAP and its affiliated entities. Furthermore, you will supervise risk and vendor management, ensure compliance with GDPR and data protection laws, and manage client agreements, thereby safeguarding the company's legal and operational integrity.

Reporting Structure

This role reports to the General Counsel and Chief Risk Officer at ATI Global, Australia, with a reporting line to the UKI CEO and Chairman.

KEY RESPONSIBILITIES

  • Assume ultimate accountability for ensuring that LEAP and its associated entities in the UK and Ireland operate in compliance with all relevant laws and regulations.
  • Contribute to the formulation and development of corporate policies, procedures, and programs, providing ongoing legal counsel, training, and guidance on legal matters and implications.
  • Advise and assist in dispute resolution, both internally and externally.
  • Implement a legal compliance program to ensure that the businesses are well-informed about the internal governance system and applicable GDPR and intellectual property rights.
  • Ensure the team maintains an accurate contract register.
  • Ensure contracts are suitable as the businesses evolve.
  • Review, negotiate, and provide counsel on a diverse range of commercial agreements and contracts based on SaaS models, possessing a solid understanding of intellectual property rights.
  • Review, draft, amend, and proofread various corporate policies and documents. Assist with company secretarial tasks and corporate restructuring as necessary.
  • Develop and manage dispute resolution strategies on behalf of the company, including overseeing all litigation involving the companies, collaborating with executives to define claims and strategic defenses, and negotiating settlements.
  • Oversee the retention, management, and evaluation of all external legal advisors.

QUALIFICATIONS

  • Law Degree or equivalent legal qualifications.
  • Possess an England and Wales Law Society Practicing Certificate and a minimum of 3 years post-qualification experience.
  • Exceptional legal advisory and contract review skills.
  • Proven drafting capabilities.
  • Able to engage at the highest corporate levels while maintaining effective working relationships.
  • Demonstrated ability to provide practical, strategic legal advice to senior stakeholders.
  • Strong commercial acumen with the capacity to offer practical, regulatory advice to manage legal risks.
  • Highly developed communication and negotiation skills.
  • Good understanding of SaaS licensing and GDPR, as you will oversee management of these inquiries and ensure appropriate documentation is in place.
  • Knowledge of company secretarial or corporate matters is advantageous but not essential.
  • Experience in one or more of the following areas is beneficial: M&A, Corporate Advisory, IP/IT, general commercial, Data and Privacy / GDPR.
