Position Overview:
As a Legal Counsel, you will play a pivotal role in supporting our Investment Banking division. This position demands a collaborative approach, working closely with various teams to provide comprehensive legal guidance on a range of transactions.
Key Responsibilities:
- Offer legal expertise on AIM and Main Market IPOs, secondary fundraisings, takeovers, and private M&A.
- Draft and review transaction documents, including engagement letters, NDAs, placing agreements, and terms and conditions.
- Collaborate with the Compliance team to ensure adherence to regulatory requirements.
- Advise on commercial contracts and assist with company secretarial duties related to governance and share schemes.
- Support the HR team with legal insights on an ad hoc basis.
Essential Qualifications:
- Qualified lawyer with a minimum of 4-6 years of post-qualification experience, preferably from a City law firm.
- Demonstrated expertise in corporate law, particularly in AIM and Main Market transactions.
- Strong understanding of AIM Rules, Listing Rules, Takeover Code, and MAR.
Desirable Attributes:
- Experience as in-house counsel within the financial services sector.
- Knowledge of GDPR, SMCR, and/or MIFID II regulations.
Skills Required:
- Ability to assess the commercial implications of legal advice.
- Proven capability to manage multiple legal demands concurrently.
- Strong interpersonal skills to foster relationships across departments.
- Excellent legal acumen regarding applicable laws and regulations.
- Practical decision-making skills with clarity and conciseness.
- Effective communication skills, both written and verbal.
- Ability to work independently while also collaborating with a broader team.
- Eagerness to learn and expand professional skills.
