Legal Counsel for Corporate Affairs

Position Overview:
Gowan Group is seeking a skilled Corporate Legal Advisor to support our General Counsel in managing all legal matters pertaining to the organization.
Duties and Responsibilities:
- Draft, review, and negotiate supply agreements, vendor contracts, licensing agreements, and other essential contracts for business operations.
- Provide legal counsel on contractual obligations, contract enforcement, and commercial disputes, while identifying issues related to intellectual property rights, technology agreements, labor disputes, and similar matters.
- Act as general corporate counsel on competition law principles, particularly in the context of supply and distribution agreements as well as sales and marketing strategies.
- Assist in corporate transactions, including acquisitions, establishment of new legal entities, joint ventures, and corporate reorganizations. Participate in due diligence and M&A processes.
- Support and oversee corporate governance in applicable jurisdictions.
- Offer legal assistance for compliance initiatives.
- Collaborate with Finance, Treasury, Tax, and Risk Management teams on banking and investment issues, intercompany agreements, cross-border operations, tax planning, internal controls, and litigation matters.
- Monitor litigation and arbitration cases as assigned.
Required Qualifications:
- Qualified solicitor or barrister admitted in England and Wales.
- Relevant professional experience in a corporate legal department or a reputable law firm.
- Proven ability to analyze complex business and legal issues to develop practical, business-oriented solutions.
- Exceptional oral and written communication skills.
- Goal-oriented and a collaborative team player.
- Experience in the agrochemical or chemical industry is advantageous.
- Proficiency in the Italian language is a plus.
Travel Requirements:
- This role reports to the General Counsel.
- Some domestic and international travel may be necessary.
