- This Company Secretary role sits within the Risk & Compliance team for MS Amlin Investment Management Limited (MS AIML an FCA regulated investment management company, servicing MS Amlin companies, as well as clients in the wider MS&AD Group. The role is also to act as Company Secretary for MS AIML’s parent company MS Amlin Investment Holdings Limited (MS AIHL). MS AIML and MS AIHL are both within the MS Amlin group of companies.
- Statutory responsibilities and accountability:

- The jobholder is the Company Secretary, appointed at Companies House in respect of MS AIML and MS AIHL.
- About The Job
- What you’ll spend your time doing:

- End-to-end management of MS AIML and MS AIHL board and committee meetings - including ownership of agendas, meeting attendance, calendar management, meeting logistics for all aspects of the boards and committees
- Drafting of detailed and comprehensive board and committee minutes and board resolutions
- Robust tracking of actions from meetings and maintaining a record of all board approvals and decisions made
- Provide timely assistance on governance and company secretarial matters, compilation of reporting to client boards and committees and management of day to day queries
- Ensuring the appropriate flow of information between the boards and committees, as well as information to other forums across the MS&AD group
- Ensuring the effective operation of the boards and committees and overseeing annual board and committee evaluations and effectiveness reviews
- Compliance with all statutory filing requirements at Companies House
- Complete timely renewals and maintenance of MS AIML and MS AIHL’s LEIs
- Completion of regular reporting to Head Office on board composition, corporate changes and other matters as required from Head Office
- Ensuring the boards and committees operate in accordance with Head Office corporate handbooks
- Monitoring of and advising the boards of regulatory and legislative changes in the governance space and working with Risk and Compliance to ensure compliance with the same
- Assisting in the creation, adoption, amendment and implementation of best practice policies/procedures/standards in corporate governance;
- Regularly advising the executive directors and senior leadership team and their teams on matters of corporate governance as well as providing training when required
- Managing of Conflicts of Interest and Related Party Transactions records
- Keeping Board and Committee Matters Reserved and Terms of Reference up-to-date to reflect regulatory change, corporate change and best practice
- Leading the Company Secretarial workstream in relation to corporate projects - including restructurings, acquisitions and corporate simplification
- Continual identification of process improvement and taking ownership of driving those improvements
- Communicating with the shareholders
- Liaising with client Company Secretary counter-parts on investment management related requests and queries
- Assist with the on-boarding of new NEDs and external committee members and establishing strong relationships with the same
- Maintain all corporate structure documentation and records
- Maintain strong relationships with counterparties, regulators, external legal counsels, consultancy services and all MS AIML team as well as other departments within the MS&AD group
- Liaise with internal and external auditors and audit advisors in relation to governance and company secretarial issues
