THE ROLE
The UK Counsel will report directly to a UK Senior Counsel, providing legal services to the UK, EU and Israeli businesses. The legal function is embedded into the fast growing UK business resulting in a fantastic opportunity for a qualified lawyer to developtheir in-house experience in a small team where there is a broad variety of work, opportunity for development and a culture that encourages innovation.
The individual will have experience in managing multiple projects and deliverables against deadlines and be able to engage with a broad range of stakeholders across the business in the UK, EU and Israel and with the broader US legal function. They should beable to proactively get to understand the overall business to be better support the legal function in the execution of its duties, able to understand and analyse complex issues to come to conclusions supported by evidence and have attention to detail. Theindividual must be able to translate sound legal knowledge into practical business advice and communicate that advice in a clear and coherent way.
They will need to be able to work on confidential and sensitive matters, exercising good judgement in the execution of their role and putting the needs of the business first. The role holder will also be expected to “cast the right shadow” within the widerbusiness, including acting as a liaison point into both the UK and US legal function.
The UK Counsel will need to use skills as an experienced professional with a good understanding of industry practices and company policies and procedures; be able to resolve a wide range of issues in imaginative as well as practical ways.
Primary Responsibilities:
- Providing support to the business on existing and new banking products and payment platform
- Supporting the expansion of new business lines into the UK and the EU markets
- Providing support to the EMEA HR function
- Keeping abreast of legal and regulatory updates in EMEA, advising the business of the consequences of those changes and working closely with others on effecting legal and regulatory change
- Global Vendor contract review, interpretation, and drafting, including negotiating NDAs as well as advising the business on insourcing and outsourcing arrangements.
- Working with EMEA based change management team on a broad range of EMEA projects ranging from product development and enhancement to strategic growth projects.
- Drafting and maintenance of EMEA policies and procedures.
- Assistance with the management of external counsel relationships in EMEA.
- Delivery and arrangement of training to EMEA teams on a broad range of legal and business topics.
- Providing meaningful and engaged contributions to SVB Legal Team's ongoing commitment to develop best in class practices
SKILLS AND REQUIREMENTS:
- Solicitor qualified in England and Wales or similar overseas jurisdiction holding a current practicing certificate.
- Experience advising on UK banking products and payments
- Effective organisational and analytical skills; must have great attention to detail.
- Effective interpersonal, verbal and written communication skills.
- Familiarity with contracts and other general corporate documents.
- Must be a highly self-motivated individual who can work independently and be a team player. Must be able to prioritize, and often handle simultaneously, multiple tasks, while maintaining attention to deadlines.
- Proactive problem solving and project management skills.
- Ability to excel in a dynamic and fast moving international environment, with a willingness to learn new skills and take on new challenges.
- An interest in the technology sector and venture capital / private equity transactions.
- Willingness to be flexible with work hours to support international work (US and Israel).
- An ability to work independently in completing assigned duties. The role normally receives little instruction on day-to-day work but receives general instructions on new assignments.
- An ability to quickly gain a thorough knowledge of SVB’s bank operations and products.
THE IDEAL CANDIDATE
- experience working in house at a US headquartered bank with UK branches or subsidiaries
- experience working in house at large corporations with international businesses in the US and UK
- experience working at an international law firm
- the ability to work on complicated transactions across different time zones with multi-jurisdictional issues
- understanding and experience in venture capital equity structures
- experience with mergers, acquisitions and acquisition/sponsor structures
- experience advising on anti-bribery, corruption, market abuse and whistleblowing risks
- experience with cross-jurisdictional employment issues
- understanding of corporate governance and Companies Act requirements for UK companies
- strong presentation skills, with experience in training large teams in house
- good time management skills, with an ability to prioritise
- strong project management skills and an ability to manage projects covering different business units
