Cardiff, United Kingdom The Learned Society of Wales Full time

This is an exciting opportunity to play a key role in taking the Learned Society of Wales forward: ensuring we are operating at our very best - as an effective, well-governed and professional organisation - so that we can deliver our ambitious new five year strategy to benefit Wales. This post would suit a proactive and organised governance professional who wants to combine flexible working with an interesting and varied role in a dynamic team.

LSW supports active Welsh learners at all levels. Fluency in Welsh is not a requirement of this post, but the ability to communicate in Welsh is desirable and a willingness to learn is essential.

**About the role**

As the Clerk, your principal duty will be to ensure that the Society’s Council and its Committees conduct their business and fulfil their responsibilities according to the Society’s Royal Charter and Bye-laws. You will be a governance professional, experienced in ensuring compliance with relevant legislation (including relevant charity, employment, and company law), improving governance policy, and preparing any reports required by such legislation.

As the Society’s guardian of probity, you will have responsibility for overseeing governance processes and policies (including risk management) and other legal and regulatory compliance, including finance, human resources, health and safety and data protection. You will be a senior member of the staff team and an Officer of the Society, expected to provide thought-leadership and advice to the Council and be an additional signatory to the Chief Executive Officer for approving internal-facing responsibilities.

You will be managed by the Chief Executive Officer and will work closely with them to lead on delivering the strategy’s fourth strategic priority: "Develop our organisation." You will manage the Operations Officer to deliver the development, implementation, and documentation of effective Council and Committee support and other business processes, support the CEO in managing the Finance Officer, and will work collaboratively with others across our small team.

We’re looking for a proactive self-starter with solid judgement, the ability to operate independently with high levels of autonomy, and engage professionally and flexibly with Fellows, external partners, and stakeholders.

Mae hwn yn gyfle cyffrous i chwarae rhan allweddol wrth gymryd y Gymdeithas Ddysgedig Cymru ymlaen: gan sicrhau ein bod yn gweithredu ar ein gorau - fel mudiad effeithiol, a llywodraethant dda a phroffesiynol - er mwyn i ni allu cyflawni ein strategaeth newydd amgylcheddol, am gyfnod o bum mlynedd, er budd Cymru. Byddwch yn aelod uwch o dîm staff ac yn Swyddog y Gymdeithas, a disgwylir i chi ddarparu arweiniad meddylgar a chyngor i'r Cyngor a bod yn destunydd ychwanegol i'r Prif Swyddog Gweithredol wrth gymeradwyo cyfrifoldebau'r mewnol.
