**Reporting To**: Chair of the Board of Directors

**Time Required** : 4 x 4-hour Board Meeting (pa) /4 x 2-hour Committee Meeting (pa)

**Salary**: Unremunerated (Reasonable Expenses Only)

**2.** **Scope and purpose of the role**

This is an exciting and unique opportunity to join The Security Institute at an important phase of its growth and development.

To monitor the financial administration of the organisation and report to the Board of Directors at regular intervals on its state of financial health, in line with best practice, and in compliance with the governing document and legal requirements.

You will work closely with the Institutes Board of Directors, leadership, managers and officers to ensure that we work governance best practice.

Under the bylaws of the organisation, the Treasurer is a Board member selected by the members of the Board of Directors. The tenure of the Treasurer will normally be up to three years, and is renewable for up to a second term with the agreement of the Board.

**3.** **About you**

You will be a finance and accounting professional who has an understanding, or interest in governance and who can work within a highly confidential and fast pace setting.

**4.** **Main duties and responsibilities (not necessarily in priority order)**
- To chair the Finance and Audit Committee as a voting member.
- To ensure that all financial reporting adheres to generally accepted accounting principles (GAAP).
- To report quarterly management accounts and financial matters to the Board of Directors
- To work in collaboration with the CEO and Finance Lead to ensure effective organization financial management and modelling.
- To ensure that accounting and finance systems are protected through internal controls adequate to reasonably protect the organization.
- To oversee the organizational risk, register to ensure that appropriate mitigations are in place
- To ensure that the auditor reports to the Finance and Audit Committee regarding any concerns they have with respect to the adequacy of internal financial controls established by management.
- To ensure that all filings to government departments are carried out to a high quality and in a timely manner.
- To ensure that no borrowing, whether short-term or long-term, is made without prior approval of the Board.
- To ensure that adequate liability protection for Board members, other volunteers and staff is maintained through indemnification and/or insurance.
- To approve agendas for the Finance and Audit Committee and for circulation of draft minutes of Finance and Audit Committee meetings.
- To represent the Institute in a professional manner and to act at all times in a manner which will not damage its reputation

**5.** **Essential Criteria**:

- A commitment to the organisation’s mission and purpose
- A qualified Chartered Accountant with demonstrated commercial awareness and knowledge
- Significant experience and excellent understanding of financial management and accounting
- Strong business and financial acumen
- Membership of a professional accountancy organisation (e.g., CIMA, ACCA,ICAEW) with experience of managing private sector accounts in England
- Ability to communicate and explain financial information and its implications to non-finance specialists to enable strategic decision-making
- Willingness and ability to understand and accept the leg
