We are looking for a Company Secretary who will be the principal advisor to the Board and the Trust Executive on all aspects of corporate governance.
You will be a key interface between the Board and the Executive, ensuring that the flow of information between the two is comprehensive and appropriate. You will ensure that the Board operates effectively and efficiently and lead processes and systems to meet regulatory requirements.

The role of Company Secretary is a pivotal one within the Trust. The post holder is the principal advisor to the Board and the Trust Executive on all aspects of corporate governance including development of the functions in line with legislative change and working within the Integrated Care System. The post holder will ensure all aspects of corporate governance are fulfilled throughout the organisation.
The post holder is expected to act as the interface between the Board and the Executive, ensuring that the flow of information between the two is comprehensive and appropriate. They will keep under review policy, legislative, regulatory and governance developments that impact on the Trust’s activities and ensure that the Board is appropriately briefed on them.
Royal Cornwall Hospitals NHS Trust is the biggest provider of healthcare services in Cornwall and the Isles of Scilly. Our three main sites are Royal Cornwall Hospital Truro, St Michael’s Hospital Hayle and West Cornwall Hospital Penzance, our staff and services are available across the region.

- to ensure local healthcare needs are met. We provide acute medical, surgical and specialist services to around 500,000- which can increase significantly during busy holiday periods.

The responsibilities of the Company Secretary fall within three broad areas:
Reporting;
Governance;
Board
The Company Secretary will facilitate the functioning of the Trust’s corporate business processes, supporting the Chair, Chief Executive and Board of Directors. Moreover, they will act as ‘wise counsel’ to the Board and to the Trust Executive; providing a confidential source of advice for board members on all aspects of Board business, including issues of concern.
The Company Secretary will also act as the Company Secretary to the Corporate Trustee, the Governing body of the Hospital Charity; advising as to the relevant legal and statutory obligations and ensuring compliance with these.
The post reports to the Chief Executive and the Chair to support them in their respective roles, providing strategic advice and counsel. The post holder will ensure that the Trust acts in accordance with its statutory/regulatory duties and discharges its day-to-day
business practices in accordance with corporate governance best practice. The post holder will also work with all the Trust Executive to support them in managing the flow of corporate business.
As a member of the senior management team the post holder will contribute to the development and implementation of the strategic direction and objectives that play a key role in embedding the mission, vision, values and goals of the organisation.
