**Job Summary**

**What is the opportunity?**

You will have primary oversight and accountability for the corporate governance of regulated and unregulated subsidiaries of Royal Bank of Canada in the United Kingdom, Channel Islands, Ireland and Europe.

The incumbent will provide expertise on corporate secretarial and governance matters and ensure a consistent approach to corporate governance is applied to all designated subsidiaries aligned to local legal and regulatory requirements.

You will support the Assistant General Counsel, Global Subsidiary Governance Office, in the development and implementation of in-house training programs and policies and procedures relating to the corporate governance of RBC subsidiaries. You will also play a key role in the delivery of strategic and efficiency projects in the UK, CI and Ireland Subsidiary Governance Office and will also have oversight and responsibility for integrating and embedding SGO strategic objectives in the region.

**What will you do?**
- Lead the SGO UK, CI, Europe and Ireland teams in the provision of best in class corporate governance support to all designated subsidiary boards and directors.
- Serve as the Corporate Secretary for key regional subsidiary board including Level 1 subsidiaries and other designated subsidiaries.
- Provide company law, corporate governance and regulatory advice and support to the officers and board members of designated subsidiaries and senior management.
- Monitor legal and regulatory developments relating to corporate governance in the United Kingdom, Channel Islands and Europe.
- Support Assistant General Counsel, SGO, in the development and implementation of corporate governance policies, enterprise-wide.
- Responsible for ensuring all corporate and regulatory filings for designated subsidiaries are completed within prescribed timeframes.
- Responsible for ensuring the records and data integrity of all information pertaining to designated subsidiaries, including data input into GEMs.
- Supervise the creation, dissolution and reorganization of designated subsidiaries in the region and intra-group transactions.
- Support board activities for designated subsidiaries including planning and preparation of board and committee meetings.
- Provide senior support and coaching to team members.
- Coordinating and discharging the responsibilities under the UK SMF Handover Policy with regards to independent directors of Level 1 subsidiaries.

**Must-have**
- LLB, called to the Bar of a Canadian province, membership in applicable law society or bar association or equivalent from another jurisdiction
