**Description**:
Our client has a vacancy for a temporary Board Secretary to join them to provide a full administrative function to the board meetings and other corporate functions such as committee meetings Information Guidance (IG) and maintenance of corporate registers and general corporate governance. You will work under the guidance of the Corporate Affairs Manager. A lot of the time you will be able to work from home however there will be a need to attend the monthly Board meetings face-to-face and undertake other Board preparations at the office in Telford.

**Responsibilities and duties will include, but not limited to**:

- To assist the Director of Corporate Affairs and Corporate Affairs Manager in maintaining the Constitution and Governance Handbook
- To assist the Director of Corporate Affairs and Corporate Affairs Manager in providing corporate governance information for inclusion in the Annual Report
- To keep under review all corporate governance developments and guidance which might affect the organisation to ensure the Board is fully briefed on these matters and the organisation's governance framework is updated in line with legislation and good practice
- Development and maintenance of the Board forward plan and committee reporting schedule
- Collation of papers
- Publication of papers in line with Constitutional and legal requirements and publication of meeting notices
- Minute taking
- Updating action lists and decision making log
- Updating website with meeting papers and minutes
- Coordinating responses to public questions
- Meeting arrangements including equipment, arrangements for live streaming/virtual meeting invitations and venues
- Maintenance of the register of Board members, terms of office and fit and proper persons test
- Maintenance of the Conflict of Interest Register, Gifts Hospitality and Sponsorship Register and a Procurement Register
- Maintenance of the database of policies and procedures
- Work with the team to provide Information Governance

**Skills and Experience**
- To be considered for this opportunity, you must have some previous experience of servicing and supporting Boards and committees at a strategic level. You will have the ability to minute high level meetings and transcribe minutes to a high standard. You will have an excellent standard of literacy, numeracy and attention to detail. Exceptional organisational skills and strong IT skills. Clear communicator with excellent oral and written presentation skills. Experience and understanding of Corporate Governance.
