**Job Purpose**:
Head of Legal for the EMEA Strategic Equity Solutions (SES) business.
The position offers a commercially-minded finance lawyer the opportunity to lead and manage the legal team in London covering the EMEA Strategic Equity Solutions business within the Markets division of Citi's Institutional Clients Group (ICG). The team adviseson the full range of securities financing transactions, including repos, structured margin lending (including private equity LP financing) and derivatives-based financings over listed equities; OTC derivatives structures ranging from vanilla trades on liquidequities to heavily structured trades on less liquid asset classes; and deal syndications through credit default swaps and sub-participations. The team also advises on structured share buybacks, strategic share disposals and acquisitions by EMEA corporatesand institutional clients.
The role will involve the provision of high quality legal and regulatory advice, and providing support and solutions to the EMEA Strategic Equity Solutions business as part of the wider Markets and Securities Services Legal function.
**Job Background/context**:
The EMEA Legal division is a critical part of the Citi organisation and many of the processes within Citi. It provides a wide range of services, support and advice to many business areas, including general advice, transaction negotiation, document draftingand execution, as well as oversight of regulatory developments and requirements.
**Key Responsibilities**:
Key aspects of the role include:

- Providing strategic advice and counsel to the SES desk head and other members of the SES business
- Leading, managing and motivating a team and evaluating internal legal resource to effectively support the SES business
- Advising on the legal and regulatory aspects of complex and bespoke securities financing transactions and corporate equity derivative transactions
- Performing legal, regulatory and franchise risk management and control by ensuring that Citi's legal policies and guidelines are complied with and developing new polices and guidelines where appropriate
- Working in close partnership with the SES business to develop optimal legal structures and solutions for transactions and other issues
- Development and management of relationships with external legal counsel in multiple jurisdictions, including management of significant annual legal budget for external spend
- Drafting, reviewing and negotiating documentation for a range of equity derivative and structured financing products
- Driving execution and resolution of transactions and issues
- Assisting in the development of template documents, such as term sheets and confirmations
- Liaison with other members of Legal and Compliance and with other internal functions
- Providing training to the front office, functions and other team members within Legal on legal, regulatory and documentation issues

**Person Specification**
**Knowledge/Experience**:

- Leadership experience; experience of managing a team/ supervising others
- Significant transactional experience and expertise/product knowledge in Derivatives (preferably equities) and Margin Loans (including LMA standard documentation) and/or financing transactions
- ISDA documentation experience at transactional level (collars, forwards, total return swaps)
- ISDA documentation general experience at Master Agreement level
- Broad knowledge of financial services legal and regulatory issues
