We are seeking a Clerk to the Board, reporting to Chair of the Board, the core purpose of this role is to provide clerking services to the Board of Directors of ABE Global, and provide advice as required on governance, constitutional and procedural matters. The ABE Board meet 6 times per year and the Clerk to the Board will be expected to attend the Board meetings at our office in New Malden and work an additional 8 days (roughly) per year, to support the Board. Travel expenses will be reimbursed.

**Main Duties and Responsibilities**:

- Provide effective clerking and administration of all ABE Board meetings.
- Liaise with the Chair and CEO in a timely manner to prepare an agenda for each meeting
- Liaise with those preparing papers to make sure they are available on time and then distribute the agenda and meeting pack 3 days in advance of each Board meeting.
- Ensure meetings are quorate and record the attendance of Non-Executive Directors at meetings.
- Draft accurate minutes of ABE Board meetings (indicating who is responsible for any agreed action with timescales), and send drafts to the Chair and the CEO for approval.
- Circulate the reviewed draft minutes to all Non-Executive Directors for approval.
- Act as the first point of contact for the Chair with queries on procedural matters.
- Offer advice on practice and procedure in governance matters and in accordance with ABE’s Articles of Association.
- Send new Non-Executive Directors induction materials and ensure they have access to appropriate guidance documents and contribute to the induction of Non-Executive Directors and those taking on new roles.
- Assist with the recruitment, elections and re-elections of Non-Executive Directors and advise the Board in advance of the expiry of a Director’s term of office, so elections or appointments can be organised in a timely manner.
- Maintain a register of Non-Executive Director and Executive Director pecuniary interests and ensure the record of Conflicts of Interest is reviewed regularly and updated.
- Maintain a record of skills and qualifications undertaken by members of the Board.
- Clerk any appeal committees/panels the Board is required to convene.
- Organise any extraordinary meetings of the Board.
- Support the Chair, or appointed Board Member in conducting skills audits and the criteria for appointing new Non-Executive Directors.
- Perform such other tasks as may be determined by the Board from time to time.

It is expected that the Clerk will undertake appropriate and regular training and personal development to maintain knowledge and improve practice, and ideally keep up-to-date with current educational developments and legislation affecting governance.

Essential:

- Strong minute taking skills.
- Accuracy.
- Able to maintain confidentiality.
- Able to remain impartial.
- Able to work independently using their own initiative.
- A person of integrity.
- Very good listening, oral and literacy skills.
- Experience in writing agendas.
- Good ICT including keyboarding skills.
- Efficient organisational skills.
- Experience/understanding of record keeping, information retrieval and dissemination of a range of documentation.
- Flexibility - able to work at times convenient to the ABE Board.
- Able to travel to meetings in London and/or New Malden.
- Has access to own laptop and electronic devices (these will not be provided).
- Be available to be contacted at mutually agreed times.
- Comfortable using videoconferencing technology.

Desirable
- Experience of working with Trustees, Non-Executive Directors, or school governors.
- Knowledge of educational legislation, guidance, and legal requirements.
- Knowledge of GDPR and data protection regulations.
- Previous experience in a clerking or secretariat role.
