**About the Role**
**Base Location**: Flexible, however our preference is that you will be based in one of our key UK or Ireland sites, which includes but is not limited to; Glasgow, Perth, Reading, London or Dublin.
**Salary**: £44,100 to £66,100 + performance-related bonus + a range of other benefits to support your family, finances and wellbeing.
**Working Pattern**: Permanent | Full Time | Flexible First options available
**What is the role?**
The role of Governance Officer sits within SSE's Group Company Secretariat, a team which provides broad-ranging technical corporate governance and compliance support to the SSE Group, its Business Units and internal functions. The role holder will be involved in key projects and services administered by the team, including providing a full secretarial service to one of SSE's Business Units. Across the above areas, key responsibilities will include:
- Assisting with the delivery of the Company Secretariat contribution within SSE's Annual Report, with input into: departmental project planning; researching reporting topics; collating supporting data; and drafting content which highlights SSE's approach to corporate governance and complies with the applicable legal and regulatory framework.
- Engaging in the development and ongoing management of governance-led initiatives and internal processes to ensure accurate record keeping, the regular review of key governance resources, and maintenance of up-to-date corporate governance content on internal and external platforms (including SSE's intranet and corporate website).
- Being secretary to one of SSE's Business Units and supporting the effective operation of its Executive Committee, through: the provision of meeting services (including agenda management, ensuring an appropriate standard of meeting materials, and recording accurate minutes and actions); advising on directors' duties and delegated authorities; promoting best practice corporate governance; and managing the annual cycle of compliance work and event driven filings for its portfolio of companies.
- Contributing to horizon scanning activities and the assessment of external developments; preparing written summaries and briefing notes to inform recommendations and action plans within Company Secretariat, and to raise awareness across wider internal stakeholders and senior forums.
- Working collaboratively within the Company Secretariat team to install high standards of corporate governance across the SSE Group, seeking opportunities to add value and assisting with the delivery of excellent service across the department's key accountabilities.
**What do I need?**
To be considered for this role, we would love you to have:
- A CGI/ICSA qualification with strong and relevant professional post-qualification experience or trained to an equivalent level in a complementary discipline.
- Listed company experience within a company secretariat function or with depth of exposure to company secretarial deliverables with demonstrable knowledge of the Companies Act, Listing Rules, Disclosure Guidance and Transparency Rules, and other relevant legislation and regulation.
- Excellent written and verbal communication skills with strong attention to detail and the ability to distil complex issues.
- Strong project-management and organisational skills, with the ability to handle multiple priorities and deliver to deadlines.
- Ability to build effective stakeholder relationships, enjoy teamwork and positively influence outcomes.
**About our Business**
The Company Secretariat team is led by the Group Company Secretary and Director of Investor Relations. As a team we ensure that SSE plc, its subsidiary companies and all directors meet their applicable legal and regulatory obligations, providing services to the SSE plc Board, Group Executive Committee their respective sub-Committees. We also oversee SSE plc's listing on the London Stock Exchange, manage the Company's share register with the appointed Registrar and administer the Company's share schemes.
