**Clerk to the Board Role Description**

**Salary**:£12 per hour plus holiday pay

**Hours**:Variable (approximately 8 hours per month) in accordance with the Board of Trustees meeting schedule**.**

**Reports to**:The Chair of Trustees

**Location**:Peterborough

**Background**

Peterborough United Foundation has charitable status and has a Board of Trustees. The board is accountable to a variety of stakeholders, including beneficiaries (and their representatives), funders, the Charity Commission, and other regulators (e.g., Companies House).

The Board of Trustees share and promote the following qualities:

- A passionate enthusiasm for supporting the beneficiaries of Peterborough United Foundation and the work the charity undertakes.
- The adherence to good governance and the Capability Code of Practice (EFL Trust and Premier League Charitable Trust). An effective board will provide good governance and leadership by:

- Working effectively, both as individuals and as a team

**Overview**

The Clerk to the Board is primarily responsible for the smooth and efficient running of meetings of the Trustee Board and any other committees to which he/she is appointed. The Clerk to the Board works closely with the Chair of Trustees and the Chief Executive Officer to help and support.

The Clerk will be closely involved in monitoring the compliance with various legislative and regulatory requirements affecting the charity and its activities. The Clerk will assist the Chair in ensuring the trustees’ decisions are acted upon, and in accordance with Peterborough United Foundation’s articles of association.

**Key responsibilities**:
Working alongside the Chair and the Chief Executive Officer to:

- Facilitate the smooth operation of Peterborough United Foundation’s decision making and reporting.
- Ensure the charity complies with its governing document
- Ensure Peterborough United Foundation complies with all relevant legislation
- Maintain all relevant and regulatory registers
- Ensure that all formal documentation is filed with appropriate bodies, as required
- Continuously review developments in charity governance
- General compliance

**Duties and tasks to fulfil the key responsibilities**

By working in partnership with the Chair of Trustees, the Chief Executive and other senior staff to ensure that:

- Board of Trustee meetings, and other committees, are efficiently organise, ensuring that there is proper and appropriate co-ordination of board and committee meetings
- Meeting agendas are properly formulated and advising the chief executive and the chair on content. Organising memoranda and presentations for the meeting.
- Collecting, organising, and distributing information, documents, and papers for meetings
- Ensuring that all meetings are minuted and that minute records are maintained with certified copies of the minutes and that action is taken on matters arising
- Communicating board decisions to those required to implement them and ensuring that actions and tasks assigned are managed to the required timetable, reporting back as required.
- Advising and guiding the board on legal and regulatory implications of the charity’s strategic plan.
- Maintain all regulatory registers, including members of the board. Trustees’ conflicts and interest etc.
- Ensure formal documentation is filed with appropriate bodies. This includes, but is not limited to, annual report and accounts, changes to trustees, reporting serious incidents.
- Monitoring the recruitment and election process for trustees
- Advising and facilitating trustee and board evaluations

**Experience, Qualifications and Knowledge**

Experience of having successfully serviced a charity board, including writing agendas and accurate minute taking.

An understanding of the legal duties, responsibilities, and liabilities of a trusteeship.

Prepared to make recommendations to the board.

Excellent organisation skills.

Proficient user of Microsoft Word, Excel and Powerpoint.

Empathy with the vision and mission of the charity

**Job Type**: Zero hours contract
Contract length: 12 months

**Salary**: £13.80 per hour

Ability to commute/relocate:

- Peterborough: reliably commute or plan to relocate before starting work (required)
