Our client a business services provider for the SME market is actively seeking an individual with governance and compliance knowledge to join their Head Office in Blackpool.

You will be supporting and deputizing for the DCG with key responsibilities including:

- Providing strategic-level advice on compliance and governance matters
- Manage the delivery of the AGMs, including the proxy vote process and the relationship with external suppliers
- Reviewing and drafting key Corporate Governance documents e.g. terms of reference, matters reserved for the Board, reports for Board and Committee meetings
- Providing end-to-end secretariat support, including developing agendas and papers; overseeing the papers-out process; attending and taking minutes of governance meetings, and overseeing the completion of actions
- Providing support to the National Chair and Vice-Chairs, and Chairs of the Scrutiny Body and Committees
- Overseeing compliance with statutory filings at Companies House and maintenance of statutory books
- Managing the Board and Committee records, including the annual work plans/forward planners
- Drafting procedures and presenting these to the Procedures Committee
- Delivering presentations and training for Board and Committee members and staff e.g., on corporate governance matters and MS Teams
- Overseeing the selection process for Board and Scrutiny Body appointments, including liaising with any external consultants

Ideally, you will be CGI Qualified however they will consider QBE. You will have an interest in corporate governance and company law, and will have experience in the following areas:

- Substantial practical working knowledge of a company secretarial / governance/compliance
- Minute-taking at the committee and/or Board level
- Supervisory/management experience
- Supporting Directors or senior management
