Reporting To
- Deputy General Counsel, Network Structures and Governance- Role Purpose
- The role of Associate General Counsel sits within the Network Structures & Governance division. Network Structures & Governance is responsible for corporate structures; legal advice to Open Society entities, the Board of Directors and its committees; overseeing funding enablement and related compliance design; and contributing to the global corporate secretarial function and global repository of entity and board data.

Key Responsibilities
- As Associate General Counsel, you will:
Advise on corporate structure and tax matters related to Open Society’s global legal structure including providing general nonprofit corporate advice including creation, governance, funding, and administration of legal entities internationally
- Manage multi-jurisdiction corporate restructures including rationalizing current entity structures, merging and/or transferring between entities, and options for establishing new legal presences or winding down legal presences as Open Society’s organizational needs change
- Advise on compliance with regulations applicable to Open Society’s entities, including advising on KYC/AML disclosure matters and providing general corporate advice
- Advise on governance support to enable agile financial management and audit
- Advise on the development and implementation of organizational policies and provide training on legal issues and compliance to staff at all levels
- Advise on transactions including grants, service agreements, consultancies, commercial contracts, licences and software agreements
- Engage and instruct external counsel when needed and co-ordinate advice as appropriate to ensure it is fit for the organization- Open Society’s legal needs mean that legal work is often cross-cutting so all attorneys in the OGC must be generalists to some _

**Qualifications**:
- Essential:Law degree or equivalent from an accredited university (law school)-
- Admission to practice law in the Open Society global office location in which you would be basedDesirable:N/AExperience
- Essential:
A minimum post-qualification experience of 5 years at a law firm and/or in-house, including experience with company law, corporate structures and corporate tax-
- Experience and record of accomplishments with drafting and negotiating in matters requiring keen attention to detail with excellent follow-through-
- Experience with providing legal advice on company law, corporate structures and corporate tax matters for a global organizationDesirable:Value Added Tax experience a plus-
- Experience working in complex international structure and/or the non-profit field a plusCompetencies- Functional Competencies:Demonstrated ability to communicate (verbal and written) legal and strategic advice with stakeholders who are not lawyers including in a virtual environment-
- Experience engaging and instructing external counsel when needed and co-ordinating advice as appropriate to ensure it is fit for the organization-
