The Company Secretariat is responsible for driving effective corporate governance around the OSB Group for the benefit of its wider stakeholders. Our team covers a broad range of activities including, Share Plan, Governance, Statutory and Regulatory Compliance. What you will be doing:
As the Assistant Company Secretary, you will:
- Management a portfolio of entities ensuring statutory compliance and highest standards of corporate governance are met.
- Act as meeting secretary to executive management committees, including end-to-end administration and ensuring meetings are conducted within their terms of reference.
- Contribute to key projects within the team relating to corporate restructure and capital allocation activities (i.e., M&A, disposal, liquidations, share buybacks, share capital reductions and payment of Dividends).
- From a PLC perspective, you will also be involved in share plan administration, AGM and Annual Report preparation and disclosures (including the release of London Stock Exchange announcement).
- Management subsidiary statutory compliance and support the refinement of the Group subsidiary governance framework.

- Discretionary annual bonus opportunity of up to 15%.

Could you be the one?:
We are looking for a talented individual who has the experience and qualifications set out below:
- Listed PLC experience in a Company Secretariat department.
- Experience dealing with Senior Executives and Directors.
- Sound knowledge of the Companies Act 2006, UK Corporate Governance Code, Listing Rules and Disclosure and Transparency Rules.
- Part Corporate Governance Institute (formerly the ICSA) qualification or legal qualification is essential.
- Excellent communication, good attention to detail and interpersonal skills are essential.
