An exciting opportunity to join a volunteer board as a Non-Executive Director in a period of growth and development for bowls in Wales. BowlsWales are seeking to appoint a Chair who is an experienced and passionate individual to provide strategic leadership and valuable insight, knowledge and experience to help support the direction of the sport.
We appreciate the commitment needed for Volunteer Board Members. Therefore, we are happy to provide any training and development opportunities to help develop the required skills.

Key Details

Salary: Voluntary plus expenses

Term of Office: Initially 3 years with the opportunity to serve an additional 3 years.

Location: Majority of meetings held virtually with the occasional meeting in Cardiff.

Time Commitment: Approximately 2 days a month. Usually, 6 Board meetings per year with an Annual General Meeting, usually held in the evening. May be asked to represent the organisation at events. With the current work that is being undertaken to develop a strategy and grow the sustainability of the organisation, greater time commitment will be required.

The Role

The Board is responsible for providing appropriate oversight, governance and leadership to the organisation in the pursuit of its objectives. The chair provides leadership to the board with prime responsibility for ensuring it has agreed priorities, a coherent and achievable strategy, appropriate structures, processes and a productive culture. They will enable the board to achieve its potential and secure the long-term success of the organisation.

The Chair's primary role is to provide assurance of the Board's integrity and the effective management of the organisation. At a secondary level the Chair may also publicly represent the Board and its policies to Members and other stakeholders. The role should never be merely procedural or ceremonial.

Responsibilities

* Ensure the Board's behaviour is consistent with its own rules and those legitimately imposed upon it from outside the organisation (e.g. HMRC, Sport Wales, the sport's International Federation)
* Ensure meeting discussion focuses on those issues which, according to Board policy, clearly belong to the group as opposed to the staff or another sub-committee
* Ensure Board discussions are timely, fair, orderly, thorough, efficient, limited to time and kept to the point
* Provide effective line management to staff, including General Manager and Development Manager
* Facilitating effective board meetings, liaising with the General Manager, where appropriate, with the drafting of agendas and supporting papers for board meetings and ensuring that the business is covered efficiently and effectively in those meetings;
* Encouraging all board members to contribute their skills, experience and opinions in order to ensure adequate scrutiny;
* Manage conflicts of interest and loyalty;
* Creating a board environment with strong working relationships and where challenge and scrutiny are welcomed;
* Participating in any board induction, training and evaluation identified as an individual board member and as part of the board or committee;
* Maintaining the board's commitment to board diversity, renewal and succession planning, in line with the governing document and/or current good practice;
* Undergoing an individual and board performance appraisal, and attending any additional training highlighted as a result of the evaluation process;
* Undertaking evaluations of the performance of board members and directing the governance lead to facilitate remedial action where required;
* Representing the organisation at functions, meetings and in the wider media, in line with the organisation's agreed media strategy.

Person Specification

* High level of understanding and interest in Sports Governance
* A commitment to the values and principles of the organisation
* Looking for an individual that can lead on and implement transformational change across the organisation and sport
* Strong business and financial acumen
* Experience of committee work
* Highly developed interpersonal and communication skills and proven leadership skills
* Strong organisational skills
* Ability to understand complex strategic issues, analysing and resolving difficult problems
* Sound, independent judgement, common sense and diplomacy
* High standards of personal integrity and probity
* Politically astute, with the ability to grasp relevant issues and understand relationships between interested parties
* Clear understanding, and acceptance, of the legal duties, liabilities and responsibilities of board members
* Excellent knowledge of governance
* Sufficient time and commitment to fulfil the role.
