An elite US law firm's London office are seeking an experienced and dynamic Senior Associate to join their Corporate group, specializing in Private Equity transactions.
Responsibilities:

Lead and manage Private Equity transactions independently, taking responsibility for deal execution from inception to completion on complex, cross-border deals.
Draft and negotiate sophisticated transaction documents, including SPAs (locked box and completion accounts), management incentive plans (MIPs), co-investor termsheets, and shareholders' agreements, ensuring alignment with client objectives and regulatory requirements.
Provide expert advice on the structuring of Private Equity transactions, reviewing and commenting on structure papers, funds flows, and funding documents to optimize deal efficiency and minimize risk.
Engage directly with clients, reporting to partners and counsel in the team, and providing strategic advice and updates on transaction progress, fostering strong client relationships.
Supervise and mentor junior colleagues, offering guidance on transactional matters, reviewing work product, and fostering professional development within the team.

Qualifications and Skills:
Qualified solicitor in England & Wales with 5+ years PQE in a top-tier Private Equity practice or similar common law jurisdiction.
Extensive experience leading Private Equity transactions, with a track record of successfully managing complex, cross-border deals from inception to completion.
Proficiency in drafting and negotiating transaction documents, including SPAs, MIPs, shareholders' agreements, and co-investor termsheets.
Strong leadership and interpersonal skills, with the ability to effectively communicate with clients, colleagues, and other stakeholders at all levels.
Proven ability to supervise and mentor junior team members, fostering a collaborative and supportive work environment.
Excellent analytical skills and attention to detail, coupled with the ability to work under pressure and manage competing priorities effectively.
Commitment to professional development, with a desire to contribute to marketing, knowhow, and pro-bono initiatives within the firm.
