Corporate - Private Equity Associate and Senior Associate

Nicholas Scott is working with a US law firm who is looking for both a Private Equity Associate and Senior Associate to join their highly ranked prestigious team.
This is a rare opportunity to join a leading law firm for private equity by IFLR1000 2020 and in the top tier for leveraged buyouts and private equity law by U.S. News. Their lawyers constantly have been listed as Leading Lawyers for private equity by Chambers Global, USA, Europe and UK.
The firm is one of the highest paying in the world and has an excellent benefits package including private medical and permanent health insurance and enhanced family leave.
The successful applicant will also be able to take advantage of their new Hybrid Working Scheme.
We are looking for an associate and a senior associate who have relevant post qualification experience in a top tier private equity practice in the London market or experience in a similar common law jurisdiction.
These roles are well suited for a candidate who has had broad experience of Private Equity transactions and is ready to take the next step in their career into leading deals in a proactive way,
The successful candidate will be experienced in drafting and negotiating locked box and completion accounts SPAs, management incentive documents (including leaver terms) and shareholders' agreements, engagement letters, alongside supervising junior colleagues on NDAs, diligence reports, disclosure letters and other ancillary documents.
We would expect the successful candidate to also have some experience of the structuring of private equity transactions and reviewing and commenting on funds flows, reporting directly to partners and counsel in the team and communicating with clients, as well as leading on the drafting of sophisticated documentation and supervising your junior colleagues on other areas of the private equity process.
