NOTE : We will consider candidates for bothgrade D (Lawyer), and C (Senior Lawyer/Senior Legal Counsel). Thebelow responsibilities may vary according to the seniority of therole, but offer a broad indication of the main activities involved inthe job.

Job purpose:

Toprovide advice on a broad range of legal issues across every aspect ofthe Company’s operations and to ensure compliance with a sophisticatedlegal and regulatory framework including international considerations.

To contribute to the provision of comprehensive corporategovernance, legal and regulatory advisory services to SHG, itsshareholders and directors.

Keyresponsibilities:

§ Provides accurate, relevant andtimely advice, guidance and assistance to the Company in respect oflegal and regulatory matters arising across all segments of itsbusiness.

§ Provides accurate, relevant and timely advice onlegal aspects of proposed projects, strategic initiatives and newbusiness opportunities.

§ In close collaboration with therelevant departments of the Company, drafts, negotiates and arrangesexecution of agreements (including KYC) on behalf of the Company incompliance with internal processes and applicable legal and regulatoryrequirements.

§ Provides accurate, relevant and timely adviceon legal issues arising in the implementation of the Company’sagreements.

§ Supports the Company Secretary to ensurecompliance by the Company, its shareholders and directors withcorporate governance requirements (statutory, regulatory andcontractual), including preparing board and shareholder resolutionsand materials for board and shareholder meetings, logisticalorganisation of board and shareholder meetings and ensuring all filingobligations are satisfied.

§ Contributes to the review,drafting and implementation of the corporate governance and legal andregulatory compliance frameworks of the Company, consistent withapplicable law and contractual requirements.

§ Prepares andgives tailored training sessions on relevant legal areas/newdevelopments to the Legal department and wider Company.

§Prepares and leads internal compliance training sessions.

§Develops and updates standard form contracts in coordination withGeneral Counsel and Paralegal (and external legal counsel as required)to streamline the Company’s commercial activities.

§Cost-efficient use of external legal resource.

§ Covers for theGeneral Counsel on an ‘as needed’ basis.

Qualifications

§ Qualified as aSolicitor of the Courts of England & Wales.

Experience

§ 2years+ PQE with oil & gas industry experience (ideally focussed ontransactions, projects, commodity trading or shipping) gained inprivate practice or in-house.

§ 1 year+ in-house experience(ideally oil & gas).

§ Involvement in oil & gas commoditytrading transactions (including familiarity with industry standardforms) and/or shipping matters.

§ Experience of governance,accountability and regulatory matters affecting the energy sector.

§ Exposure to company secretarial matters (draftingresolutions, minutes etc).

Expertise

§ Up-to-dateknowledge of applicable English law.

§ Excellent interpersonalskills with the ability to communicate and collaborate effectively andappropriately with colleagues and stakeholders (internal and external)at all levels.

§ Excellentoral and written communication skills.

§ Ability to work independently and accurately todemanding deadlines.

§ Ability to organise and implementcomplex projects.

Competitive package based on experience.Including;

§ Basic salary: £70-155,000 dependent on experience(Grade D or C)

§ Non-contractual, performance-based bonus.(Target 20% of basic, grade D, 30% grade C)

§ Car allowance: £8,000 annually, grade D, £9,000annually, grade C

§ Gym allowance £1,200 annually

§ 35 hour working week

§Hybrid working: 3 days office, 2 days home

§ 27 days annualleave
