Job Description

An Elite US law firm, ranked Band-1 by Chambers for Equity Capital Markets (ECM) advisory, are searching for experienced Associate to join the Equity Capital Markets division.

About the ECM Division:

Led by a hall-of-fame ECM lawyer, the division is renowned for its unparalleled expertise in navigating complex capital market transactions. The team has successfully advised on a myriad of high-profile offerings, including IPOs, follow-on offerings, and equity-linked securities transactions. With a client-centric approach and a deep understanding of market dynamics, we consistently deliver tailored solutions that maximize value and mitigate risk for our clients.

The Role:

As an Associate in our ECM team, you will have the opportunity to work on a diverse range of transactions alongside some of the brightest legal minds in the industry. Your responsibilities will include:

  • Conducting comprehensive legal research and analysis to support transactional activities.
  • Drafting and reviewing offering documents, prospectuses, and other transactional materials.
  • Assisting in due diligence processes and liaising with clients, underwriters, and other key stakeholders.
  • Providing strategic advice and guidance to clients on regulatory compliance and corporate governance matters.
  • Collaborating closely with partners and senior associates to execute seamless transactions and deliver exceptional client service.

Qualifications:

  • Experience in capital markets transactions at a leading law firm or financial institution.
  • Outstanding academic credentials.
  • Qualified to practice in England and Wales.
  • Excellent written and verbal communication skills, with the ability to convey complex legal concepts clearly and effectively.
  • Exceptional analytical skills and attention to detail, with a proven ability to thrive in a fast-paced, high-pressure environment.
  • Demonstrated ability to work collaboratively in a team-oriented environment while also taking initiative and working independently when necessary.
