The Principal Solicitor role is part of ScottishPower’s Legal’s Corporate Governance & Cosec Team, with responsibility for advising on Corporate governance and legal compliance, internal and external reporting and company secretarial matters.
In role, you will be advising on and coordinating the implementation of the ScottishPower Group’s Governance and Sustainability System, including the adoption of key corporate policies of the Iberdrola Group ensuring alignment with the global company model, compliance with UK laws, the UN Sustainable Development Goals and ESG requirements.
You will act as a key Adviser for the Head of Legal – Corporate Governance and other members of the legal team.
What you’ll be doing
Acting as a subject matter expert on Corporate Governance and Cosec issues, you will provide commercially driven legal advice and support to the ScottishPower Company Secretaries and key Corporate functions, including Internal Control, Audit & Risk and Compliance, to ensure adherence to all Corporate Governance and Cosec requirements.
You’ll manage day to day legal and compliance matters as well as leading, instructing, managing and coordinating all external legal Advisors to facilitate delivery of Corporate Governance and Cosec objectives in an optimal way and with a focus on minimising dependency on external support and delivery within budget.
You’ll promote the Corporate Governance & Cosec Team as a vehicle for organisational change, growth and commercial evolution to ensure legal resources are fully aligned to deliver and develop best practice legal processes as part of an innovative and high-performance culture within the wider Legal team as well as taking responsibility for Corporate governance compliance for the ScottishPower Group and the implementation and ongoing compliance with group governance processes of Iberdrola.
What you’ll bring
You will be a fully qualified Solicitor with a background in a Corporate, Regulatory or Compliance environment.
With hands-on responsibility for advising, leading or managing a company secretarial, Corporate governance and compliance unit within a high-value/high-risk concern, advising Directors and Executives on company regulations, Corporate governance and Directors’ duties, you will possess strong working knowledge/experience of advising on Corporate governance processes, risk management, audit and financial/non-financial reporting, including ESG, TCFD reporting and compliance with the UK Corporate Governance Code.
