The Role: We are currently seeking an experienced Corporate Lawyer for a 3-month interim position with one of our clients, a dynamic company in the health tech sector. This role offers the chance to be a key player in their ongoing corporate activities, working at the intersection of corporate governance, legal compliance, and strategic transaction management.

Key Responsibilities:

  • Transaction Management: Manage and oversee the legal aspects of the fundraising process, ensuring smooth execution and compliance. This includes coordinating information flow between investors, the board, and external law firms.
  • Investor Relations: Serve as the primary legal liaison for investors, addressing their needs and concerns efficiently and professionally.
  • Board Collaboration: Work closely with the company’s board, providing legal insights and updates throughout the fundraising process.
  • Legal Coordination: Collaborate with external law firms to ensure all legal documentation is accurate and aligns with the company’s strategic goals. You will not be drafting all documents but must possess a deep understanding of fundraising term sheets and related documents.
  • Strategic Support: Provide expert legal advice on corporate governance, regulatory compliance, and transaction structuring to the leadership team.

Requirements:

  • Legal Background: Qualified solicitor with significant experience in M&A and corporate law from a top-tier law firm.
  • In-House Experience: Previous experience working in-house, ideally within a tech or healthcare company.
  • Fundraising Expertise: Strong understanding of fundraising term sheets and transaction management, with experience in handling investor relations.
  • Communication Skills: Excellent interpersonal skills with the ability to manage multiple stakeholders and effectively communicate complex legal concepts to non-legal colleagues.
  • Location: Must be able to work from the client’s London office 3-4 days per week.
