Location: Central London
About Them: A leading financial services firm specialising in serving High Net Worth and Ultra High Net Worth individuals, families, and businesses. With a dedication to excellence and a focus on personalised service, we provide comprehensive wealth management solutions tailored to meet the unique needs of our clients.
Position Overview: My client is seeking an experienced and dynamic individual to lead their general counsel function, overseeing all legal matters related to client engagements, investments, and business operations. The ideal candidate will have a strong background in legal and compliance within the financial industry, with expertise in investment management agreements, fund structures, private equity investments, and regulatory compliance.
Responsibilities:
- Lead the general counsel function of the firm, providing strategic guidance on legal matters related to client engagements, investments, and business operations.
- Draft, review, and negotiate investment management agreements, NDAs, and other legal documents to ensure compliance and mitigate risks.
- Advise on corporate transactions, particularly in the context of direct private equity investments, ensuring alignment with the firm's investment objectives and client needs.
- Establish and review fund structures, collaborating with internal teams and external advisors to optimize investment strategies and maximize returns.
- Provide guidance on private client tax matters, working closely with tax advisors to minimize tax liabilities and optimize wealth preservation strategies.
- Ensure compliance with regulatory requirements and industry standards, dedicating a portion of time to general compliance matters and overseeing internal compliance initiatives.
- Lead and drive deals to completion from a legal perspective, demonstrating discipline, attention to detail, and an entrepreneurial approach to problem-solving.
Requirements:
- Minimum 5 years of prior experience in the financial industry, with a focus on legal and compliance functions.
- Demonstrated expertise in establishing and creating fund structures, preferably within a similar client base.
- Familiarity with FCA regulations and approval processes is beneficial.
- Professional qualifications in law or a related field.
- Strong understanding of investment management, private equity, and corporate transactions.
- Ability to work autonomously and lead complex deals to completion.
- Excellent communication and negotiation skills.
- Proven track record of managing legal affairs within a financial services environment.
